AGREEMENT TO TERMS

These Terms & Conditions constitute a legally binding agreement between you (“you”) and Visionz Designs (“Visionz Designs”, “we”, “us”, or “our”) regarding your use of our products and services (“Services”). By submitting a purchase order, requesting services, or engaging with Visionz Designs in any capacity, you agree to be bound by these Terms. If you do not agree, you may not use our Services. We reserve the right to update these Terms at any time. Continued use of our Services constitutes acceptance of any changes.

SERVICES

Visionz Designs provides production, decoration, fulfillment, and related services. All services are subject to availability, operational capacity, and approval.

USER REPRESENTATIONS

By working with Visionz Designs, you represent that all submitted information is accurate and complete, you have authority to act on behalf of your entity, your artwork and materials do not infringe on any third-party rights, and you will not use our Services for unlawful purposes.

ORDER ACCEPTANCE

All orders are subject to minimum requirements, production capacity, and final approval by Visionz Designs. Submission of a purchase order or request does not guarantee acceptance.

RIGHT TO REFUSE SERVICE

Visionz Designs reserves the right to refuse service to any individual or business at our sole discretion, at any time, for any reason.

PRODUCTION TIMES

All production and delivery timelines are estimates only and are not guaranteed unless explicitly agreed to in writing. Visionz Designs is not responsible for missed deadlines, event impacts, or loss of revenue due to production or shipping delays.

PRODUCTION & ORDER PROCESS

Production begins only after all goods, approvals, and required information are received. Orders must include clear and accurate instructions. Changes are not guaranteed once production has begun. Visionz Designs is not responsible for delays caused by incomplete information, late approvals, or external factors.

SPOILAGE & RETURNS

Spoilage allowance is up to 2% per placement, rounded up to the nearest whole unit, for Visionz Designs production errors. Visionz Designs’ counts are considered final. All spoilage determinations are subject to management review and approval. For damages or shortages exceeding the stated spoilage allowance, Visionz Designs’ maximum liability is limited to $25.00 per supplied item unless otherwise agreed in writing. Visionz Designs does not accept returns on custom-produced items. All return requests or claims must be approved prior to submission.

CUSTOMER SUPPLIED GOODS

By submitting materials to Visionz Designs, you confirm you have the legal right to do so. Visionz Designs is not responsible for defects or inconsistencies present prior to production. Due to production processes, materials may be altered in color, texture, or condition, and these changes do not constitute defects. Visionz Designs does not assume replacement liability for customer-supplied goods under any circumstance beyond gross negligence or willful misconduct.

INTELLECTUAL PROPERTY & FILES

You retain ownership of your submitted artwork. Visionz Designs retains ownership of all production files, including separations, digitized files, and internal assets. Visionz Designs is not obligated to release production files. Any release is at our sole discretion and only after all invoices are paid in full.

SHIPPING & DELIVERY

All shipping timelines are estimates and not guaranteed. Once a shipment has been scanned and accepted by the carrier, responsibility transfers to the customer unless shipping insurance was requested and paid for. Visionz Designs is not responsible for delays, losses, damages, or delivery issues caused by carriers or external logistics providers.

INTERNATIONAL ORDERS

Customers are responsible for all duties, taxes, customs requirements, and compliance with international shipping regulations. Visionz Designs is not responsible for delays, holds, or additional fees incurred during international transit.

PAYMENTS & CHARGEBACKS

Payment terms are determined per client and may require deposits or full payment prior to production. Visionz Designs reserves the right to withhold services, goods, or file releases until all invoices are paid in full. By submitting payment, you agree not to initiate a chargeback without first contacting Visionz Designs to resolve the issue. Unauthorized chargebacks may result in account suspension, refusal of future service, and/or collections action.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Visionz Designs shall not be liable for any indirect, incidental, or consequential damages, including lost profits or revenue. Total liability shall not exceed the amount paid for the specific order in question.

INDEMNIFICATION

You agree to defend, indemnify, and hold Visionz Designs harmless from any claims, damages, or liabilities arising from your artwork or materials, your use of our Services, or any violation of third-party rights.

GOVERNING LAW

These Terms are governed by the laws of the State of Texas.

MODIFICATIONS & INTERRUPTIONS

We reserve the right to modify or discontinue services at any time without notice. We are not liable for interruptions caused by operational, technical, or external factors.
